Probably a basic question (Magna, but the principle is the same):

You have 12-56 bases of Legionaries.
Upgrade Legionaries to Veteran: 0-12 bases
Upgrade to Caesar's 10th: 0-4 bases

So I read this as follows:

• I have 12 bases, OF WHICH I can make them all veteran, OF WHICH I can have 4 exceptional ? (ending with 8 superior and 4 exceptional)

or

• I have 12 bases, I may have another 12 veteran bases and another 4 exceptional, all in addition to the minimum 12 average ? (ending with 12 average and up to another 12 superior and 4 exceptional) ?

2024 Magna Army List

With regard to Caesar's Xth legion, the list doesn't mention anything about it being an upgrade. 

So you can have the veteran legionaries and Caesar's Xth legion as long as you take at least the same number of legionaries (this being a requirement for taking the Exceptionals).

So you can have:
4 Caesar's Xth
12 Veteran legionaries
16 Legionaries (any of which could be downgraded to Poor).

Alternatively you could take 12 Veteran legionaries and no other legionaries.  (You will have met the minimum).

The lists generally mean what they say.
